HOW DOES THE LOCAL COMPANY WORK?
The local subsidiary company is led by appointed Directors, each with an area of responsibility. For example, engagement with their colleagues to carry out the activity, governance and operational management. In addition each local subsidiary company is supported by an Operations Manager or Service Manager whose responsibility it is to secure activity, secure relationships with facilities providers and manage the daily operational functions of the company. The Directors are shareholders in the local company.
The company is all inclusive and multi-speciality. It is important that the Directors represent a broad spectrum of specialities to allow as complete a representation of the specialities as possible. This allows medical staff to be engaged with the company to perform the activity from a broad spectrum of specialties, and in turn allows the company to service as much available activity as possible.

DO THE DIRECTORS HAVE TO PAY TO BECOME SHAREHOLDERS?
No. The shareholders/directors are appointed by the directors of Surgery Holdings Ltd. They are gifted up to 49% of the subsidiary company shares with the remainder being retained by SHL.
As the company develops and expands there may be the opportunity at a later stage for others to purchase shares.

ARE THERE ANY UPFRONT COSTS TO ME?
No.

CAN I MAKE MONEY BY INVESTING IN THE COMPANY?
Shares are distributed to the subsidiary company directors, there may be an opportunity to buy shares at a later stage, or on some occasions local company directors choose to hold back some shares for allocation at a later stage.

HOW ONEROUS IS THE ROLE OF A SHL COMPANY DIRECTOR?
The directors are responsible for leading the local company. Initially the role is often more onerous; the recruitment of colleagues to undertake the activity, explaining the model and identifying opportunities within the local healthcare system for activity takes time, however, as the company becomes established and operational management support is put in place, the role is more focused on overseeing activities and supporting the Operations Manager. The directors meet as frequently as is required, usually weekly but meetings are dependent upon demand and workload. The directors will also need to ensure that information-sharing opportunities and other communications to consultants undertaking the activity are conducted, to ensure that everyone signed up to work with the subsidiary company is fully briefed and up to date.

WHAT WOULD I BE SIGNING UP FOR IF I AGREED TO CARRY OUT ACTIVITY FOR A SUBSIDIARY OF SHL?
If you choose to support a subsidiary company of Surgery Holdings you would be signing up to carry out your usual consultant medical activities within the pathway of care for the patient, within your non-contracted hours. This would involve outpatient consultations, and elective care procedures. It would also involve a level, where appropriate, of ongoing support to the patient.
You would be asked to sign a consultancy agreement and would be required to hold practice privileges for the independent hospital sites that you would be working from.
The administration team would liaise with you regarding your availability and would work alongside the hospital provider administration teams to ensure that all the relevant patient information is available to you to conduct the required activities.

AREN'T I ACTING IN COMPETITION WITH MY OWN TRUST IF I DO THIS WORK?
No, not if you are undertaking this work in your non-contracted hours when it would be no different from private practice.

WHO WILL ORGANISE THE OUTPATIENT REFERRALS AND OPERATING LISTS?
The SHL subsidiary company administration team will liaise with you to ascertain your availability to meet both the OPD and elective activity demand, and will coordinate with the provider hospital administration team in line with the referrals and activity demands.
Once the patient has been found to require an operation the administration team will liaise with you regarding your availability, in conjunction with the availability at the site to undertake the operation.

WILL I BE RESPONSIBLE FOR PAYING MY SECRETARY FOR THE TYPING ETC?
All of the admin requirements, including typing, will be undertaken by the SHL local company administration team or in some cases, depending upon the function required, by the hospital administration teams.

WHAT CAN I EXPECT IN THE WAY OF PAYMENT?
Fees for services are based on national NHS tariff rates. The level of remuneration is also influenced by the volume of the activity. The rates vary across the specialties, these will be discussed with you as the activity presents.

IF WE SIGN UP TO UNDERTAKE ACTIVITY HOW DO WE ELECT OR INFLUENCE THOSE RUNNING THE SHOW?
It is the role of the directors of each of the subsidiary companies to manage the running of the company. You may wish to consider becoming a local company director and shareholder. This would involve a responsibility for care pathways, governance, financial matters, engagement of medical staff to service the activity and a management role in overseeing the daily activities of the company.

WHO DOES AUDITS AND PRODUCES REPORTS?
Both the hospital providers and the local company servicing the activity are required to provide reports to the commissioners (i.e. SHA and PCTs). Subsidiary companies are required to support clinical audit, governance and contribute to other reports and datasets to meet the contractual reporting requirements. This in the main will be provided and managed by the administration team.
SHL are also in the process of procuring a medical audit system to enable medical data gathering, audit and to contribute to governance systems. Consultants working with subsidiary companies will be required to contribute to datasets prospectively. Consultants will also be required to complete outcome type datasets to code the patient episode to allow for charging to occur. However this will be along the lines of a discharge summary and not designed to be onerous.

WHO REPRESENTS THE CLINICIANS' POINT OF VIEW TO THE COMPANY GENERALLY?
The subsidiary company directors are recruited from a range of specialities. Viewpoints can be taken to any of the directors for discussion, or to the Operations Manager once appointed. SHL encourages open, supportive dialogue and involvement of colleagues to support the evolvement of the company.

WHAT IF I DO NOT WANT TO BECOME INVOLVED?
SHL and its local companies are neither totally inclusive or exclusive. You may not wish to become involved in any respect. However there are a numbers of ways you could become involved, some less onerous than others. For example, you could choose to simply sign up to work with the subsidiary company and undertake the activity, or you could commit more time to it and become a company director.
